MASTER SERVICES AGREEMENT

This Master Services Agreement ("MSA") is made effective as of 2023-01-15, by and between Cyber Management Inc. ("CMI"), and Acme Corporation ("Client").

1. SERVICES. CMI will provide software development, maintenance, and support services as detailed in individual Statements of Work ("SOW").
2. TERM. This Agreement commences on the Effective Date and will continue until terminated by either party with 90 days written notice.
3. PAYMENT. Client agrees to pay CMI the fees set forth in each SOW. Invoices are due within 30 days of receipt. Late payments will incur a penalty of 1.5% per month.
4. CONFIDENTIALITY. Both parties agree to maintain the confidentiality of all proprietary information disclosed during the term of this Agreement.
5. INTELLECTUAL PROPERTY. All pre-existing intellectual property remains the property of the originating party. All new intellectual property developed under an SOW shall be owned by the Client upon full payment.
6. GOVERNING LAW. This Agreement shall be governed by the laws of the State of Delaware.
