NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("NDA") is entered into on 2023-03-01, between Cyber Management Inc. ("CMI") and Innovate LLC ("Innovate").

1. PURPOSE. The parties wish to explore a business opportunity of mutual interest and in connection with this opportunity, each party may disclose certain confidential information to the other.
2. CONFIDENTIAL INFORMATION. "Confidential Information" includes all non-public information, including but not limited to business plans, customer lists, and financial data.
3. OBLIGATIONS. The receiving party agrees not to disclose the Confidential Information to any third party and to use it solely for the purpose of evaluating the business opportunity.
4. TERM. The obligations of this NDA shall survive for a period of five (5) years from the date of disclosure.
