VENDOR SERVICES AGREEMENT

This Agreement is made on 2024-02-10 by and between CloudForce Inc. ("Vendor") and Cyber Management Inc. ("CMI").

1. SERVICES. Vendor will provide cloud computing services, including IaaS and PaaS, as specified in the Service Catalog.
2. TERM. The initial term is one (1) year. This agreement will automatically renew for subsequent one-year terms unless notice of non-renewal is given at least 180 days prior to the end of the current term.
3. FEES. Fees are based on usage and billed monthly. CMI commits to a minimum monthly spend of $5,000.
4. SLA. Vendor guarantees 99.99% uptime. Service credits will be issued for any downtime exceeding this threshold.
